Terms of service

1. Scope
These terms govern all quotes, orders and deliveries of OceanSphere Service Sp. z o.o. ("OceanSphere Fabrication") for the manufacture of parts to drawing or sample, including reconstruction of drawings, inspection and delivery. They apply to entrepreneurs, legal entities and public bodies only.
2. Quotes and orders
A request via the website is not an order. We reply with a written quote stating material, heat treatment, tolerances, documents, price and delivery date. A contract is formed when you confirm the quote in writing (e-mail is sufficient). Quotes are valid for 30 days unless stated otherwise.
3. Drawings, samples and rights
We manufacture to the drawing or sample you provide or the drawing you approve. You confirm that you are entitled to have the part manufactured and to pass the documents on for this purpose, and that this does not infringe third-party rights (in particular patents, utility models, registered designs or copyright in drawings). You indemnify us against claims of third parties arising from a breach of this assurance. We do not manufacture parts protected by a valid patent or registered design against the will of the right holder and do not reproduce manufacturers' logos or markings.
4. Materials, tolerances, documents
Binding are the material, heat treatment, tolerances and documents stated in the quote. Where the drawing gives no general tolerance, ISO 2768-m applies. Metal parts are delivered with an inspection certificate 3.1 to EN 10204 for the material unless agreed otherwise.
5. Manufacturing partners
Parts are manufactured by specialised independent workshops chosen for each job. OceanSphere Fabrication remains your sole contract partner and is responsible for project management, inspection and delivery.
6. Installation and lifting appliances
Unless expressly agreed, installation, welding on board and any examination, proof load test or register entry required after fitting (e.g. under ILO Convention 152 for lifting appliances) are not part of our delivery and remain the responsibility of the customer.
7. Prices, payment, delivery
Prices are net plus VAT. Delivery terms (e.g. FCA workshop or DAP port, worldwide) and the lead time are stated in the quote; lead times depend on the part and are estimates unless expressly agreed as fixed in writing. New customers pay 50 % on order and 50 % before shipment; regular customers on invoice within 14 days. The delivery date starts when complete documents and, where applicable, the down payment have been received.
8. Warranty and liability
We warrant that the parts conform to the agreed specification and documents. The warranty period is 12 months from delivery. Obvious defects must be reported within 10 days of receipt. We remedy defects by rework or replacement. We do not warrant the suitability of a design provided by you. Our liability is limited to the order value, except for intent, gross negligence, injury to life, body or health and mandatory product liability. We are not liable for consequential losses such as off-hire or delay of the vessel unless expressly agreed in writing.
9. Confidentiality
Drawings, samples and data remain your property and are treated confidentially. They are passed only to the manufacturing partner quoting or executing your order, and only for this purpose.
10. Requirements of class, flag and standards
You state in your request any requirements of a classification society, flag state, insurer or standard that apply to the part. Class acceptance, approvals and special tests are part of the delivery only if agreed in the quote, and are charged as quoted. Without such an agreement we manufacture to the drawing and the documents stated in the quote.
11. Parts made to order
Parts made to your drawing, sample or specification are special orders. Once we have placed the order with the workshop, the order cannot be cancelled and the parts are not taken back.
12. Export control and sanctions
We do not deliver to persons, companies, vessels or destinations subject to sanctions of the EU, the United Nations or other applicable sanctions regimes. You confirm that the parts are not intended for such a use; otherwise we may withdraw from the contract.
13. Applicable law and other terms
Polish law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Warsaw. In addition, the General Terms of Business of OceanSphere Service Sp. z o.o. apply; in case of conflict these terms take precedence. The English version is authoritative. General Terms of Business
